Master Service Agreement

Effective Date: November 18, 2025

By accessing, downloading, or using the GymVista platform (web dashboard, mobile apps, and hardware), you are entering into a legally binding agreement with Saasvista Technologies Pvt Ltd ("The Company"). These terms govern your use of our Gym ERP ecosystem.

1. User Agreement & Eligibility

By creating an account, you confirm that you are at least 18 years old and have the authority to bind your business (Gym/Fitness Center) to these terms. If you do not agree with any part of these terms, you must immediately discontinue the use of our services and return any leased hardware.

2. License Grant (SaaS)

Saasvista Technologies grants you a limited, non-exclusive, non-transferable, and revocable license to use the GymVista software solely for managing your gym operations. This license is conditional upon your payment of the recurring subscription fees.

• Feature Access: Includes member management, billing, and attendance tracking features.
• Updates: We provide automatic cloud updates and security patches.
• Revocation: We reserve the right to revoke this license immediately if subscription fees are unpaid.

3. Hardware-as-a-Service (HaaS) Agreement

Your use of the hardware is subject to the following strict conditions:

• Ownership: Title and ownership of the hardware remain exclusively with Saasvista Technologies at all times.
• Connectivity: You are responsible for providing a stable 2.4GHz Wi-Fi connection. We are not liable for attendance failures due to your internet outages.
• No Tampering: You agree not to open, repair, reverse-engineer, or modify the internal components (ESP8266/Sensors) of the device.

4. Mandatory Return & Inactivity Rule

To prevent hardware hoarding, we enforce a strict return policy based on account activity:

• 6-Month Inactivity: If your subscription remains unpaid or inactive for a continuous period of 6 Months, the rental agreement automatically terminates.
• Return Process: A GymVista field agent will visit your registered premises to collect the device. You are legally obligated to hand over the device.
• Penalty: Failure to return the device, or returning a damaged device, will result in a penalty fee equivalent to the full market replacement cost of the hardware.
• Remote Blocking: We reserve the right to remotely "brick" or permanently disable the device if it is not returned or if subscription dues are not cleared.

5. Subscription & Payment Terms

GymVista operates on a "Pay-as-you-go" prepaid model (starting at ₹199/month).

• No Refunds: As we provide immediate access to the full software suite and offer a highly affordable rate, all payments are final and non-refundable.
• Cancellation: You may cancel at any time by stopping payment. Your account will remain active until the end of the paid term.
• Taxes: All fees are exclusive of applicable GST unless stated otherwise.

6. Data Protection & Privacy

We take your privacy seriously. By using the software, you agree to our Privacy Policy.

• Controller vs. Processor: You (Gym Owner) are the Data Controller of your members' data. Saasvista Technologies acts as the Data Processor.
• Security: We use SSL encryption and secure cloud servers. However, you are responsible for keeping your admin password confidential.

7. Limitation of Liability

To the maximum extent permitted by law, Saasvista Technologies Pvt Ltd shall not be liable for:

• Any indirect, incidental, or consequential damages (e.g., loss of gym revenue).
• Service interruptions caused by ISP failures, power outages at your gym, or Force Majeure events.

8. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the courts of Lucknow, Uttar Pradesh.
